MEMBERSHIP AGREEMENT

 

This Membership Agreement is entered into as of the date set forth below by and between Loopers United, Inc., a Tennessee corporation, and the undersigned (“Caddie”). 

 

Recitals

 

A.         Loopers United is the marketing, promotional, and licensing subsidiary of the Professional Ladies Tour Caddies Association (“PLTCA”).

 

B.         The Professional Ladies Tour Caddies Association is an unincorporated nonprofit association operating under the laws of the State of Tennessee. 

 

C.         The Professional Ladies Tour Caddies Association is a trade organization whose members are professional golf caddies who work with the top professional female golfers on the LPGA Tour and was created to unite caddies for the betterment of the profession and to improve group benefits for its members. 

 

Terms

 

The parties acknowledge and agree to the following considerations, mutual covenants and promises: 

Loopers United will seek to establish an effective working relationship with the LPGA Tour and its associates. Loopers United will work directly, or through a third-party association, to achieve marketing, promotion and sponsorship programs to benefit members of Loopers United.

Caddie shall comply with the terms, conditions, and regulations of the Professional Ladies Tour Caddies Association as set forth in the Bylaws of the PLTCA, as amended from time to time, and any and all regulations or rules adopted by the Board of Directors of PLTCA.

Caddie’s relationship with Loopers United is contractual in nature and that of an independent contractor, and nothing in this Agreement is intended to, or should be construed to create a partnership, agency, joint venture, subsidiary, or employment relationship. Caddie is not authorized to make any representation, contract, or commitment on behalf of Loopers United, unless specifically requested or authorized in writing to do so by Loopers United.

Caddie willingly consents to and hereby grant and assign, without compensation, to Loopers United and its licensees, successors and assigns the right to his/her name, picture, image, likeness, voice and/or words, and other identifying, performance and/or biographical information (“Appearance”) throughout the world in connection with television, radio, video, audio, internet , film, motion picture, digital signal, photographs, computer network, IPTV, wireless distribution, mobile communications device, print or any other medium or method of distribution which is now known or hereafter may exist, including, without limitation, free over-the-air broadcast, cablecast, satellite, broadband, wireless, pay television, subscription television and on-demand platforms.

A Caddie who violates any Loopers United regulation, or whose actions or conduct reflects poorly upon the greater Loopers United group, will be subject to losing the privilege to be a member of Loopers United, depending on the conduct. Caddie agrees to conduct himself/herself with due regard to public convections and morals and that he/she will not engage in conduct unbecoming of a professional caddie as determined in the sole discretion of Loops United.

Loopers United membership will be issued at the request of the Caddie and only to those who caddie on the LPGA Tour on a regular basis – a minimum of 10 tour events is a requirement, or in good standing from the previous year, or have a current year LPGA Caddie Credential as issued by the LPGA.

Caddie is required to pay the $50.00 membership fee for the current year as dated below.

This Agreement may be executed in any number of ways, each of which is deemed an original and all of which together constitute one instrument. A signed copy of this Agreement delivered by email or other means of electronic transmission is deemed to have the same legal effect as delivery of an original signed copy of this Agreement.

In witness whereof, the undersigned (by agreeing to terms via "Accept Terms" we have executed this Agreement as of today's date).

Addendum;

 

Telegram Chat Rules - Code of Conduct

 

• Treat fellow caddies with respect in all circumstances. Please refrain from foul, disrespectful, derogatory language, political commentary and sexual humour/innuendo. The PLTCA includes people from many cultures, backgrounds, ages and beliefs.

 

• Use appropriate channels

  • General Discussion - Please keep the chat on topic, and work related. Relevant information includes such topics as job postings, travel advice, helpful caddie suggestions, pin sheets, and tournament updates..

• Appreciative Texting

  • Deleting your own messages after a job posting has been filled, and a job has been accepted. This will allow members to recognize who is still available to work upcoming events.

  •  This can also apply to hotel accommodations, transport requests, lost and found, etc.

  • The board is here, and will always listen to your legitimate concerns. Please consider emailing any feedback, concerns, questions, or comments to pltca2020@gmail.com rather than posting to the discussion boards.

 

• The PLTCA Board will have sole discretion in determining what violates the Code of Conduct rules. If a post is deemed inappropriate a member of the board will speak with the PLTCA member privately about their post. The board has the right to suspend any member from the chat at any time. This action will only be carried out if there is a majority vote result amongst the board. The suspension will be immediate, and the length of time determined by the board.
